Job Summary:This position will assist ATD's corporate attorneys in a wide range of general corporate and operational matters, including corporate governance support, contracting support, entity formation and management, and litigation and claims tracking. The paralegal will also perform cross-functional support of transactions on an as-needed basis.Responsibilities:Maintain permanent corporate board minute books as well as corporate stock record books; maintain stock abstract including options; coordinate with Transfer Agent, and assist with share ownership, options and other corporate equity matters. Maintain and manage litigation files and monitor progress; coordinate and gather documents related to lawsuits and subpoenas for documents.Maintain database for retrieval of all documents and files; coordinate index of offsite legal files.Coordinate and manage licensing for various jurisdictions where Company is qualified to do business; coordinate qualification and prepare annual reports for all state qualifications; monitor compliance in all states for ATD and its subsidiaries.Participate in due diligence for mergers and acquisitions.Assist in preparation and process of appropriate contracts for acquisitions. Review, prepare and coordinate lien releases of acquisition target. Coordinate completion of all post-closing items.Maintain records from acquisition for permanent files.Coordinate outside law firm relationships.Coordinate and review outside law firm billing. Coordinate payment of invoices. Requirements: Bachelor's degree preferred. Paralegal certificate strongly preferred.2-3 years of working experience as a Paralegal.Ability to perform legal research, writing and analysis.Excellent oral and written communication skills to communicate effectively with attorneys, and clients.Requires strong organizational skills with a high degree of attention to detail.Ability to exercise independent judgment and to effectively prioritize work.Proficient in the use of Microsoft Word and other Microsoft products, Excel, and corporate and legal databases.
